I. GENERAL PROVISIONS

 

1. These Terms and Conditions („Terms”) define the terms and conditions of a program that aims to support non-profit organizations by tech companies concerning the education and mentoring in the field of artificial intelligence and effective implementation of AI solutions organized under the name  AI for Changemakers (“AI for Changemakers” or “Program”).

2. The Organizer of the AI for Changemakers is Tech To The Rescue Foundation, with its registered office at Hoża 86/410, 00-682 Warsaw, Poland, entered into the Register of Associations, Other Social and Professional Organizations, Foundations, and Independent Public Health Care Facilities kept by the District Court for the Capital City of Warsaw, XIII Commercial Department of the National Court Register under KRS number 0000937683, NIP (Tax Identification Number) 5272981322 („Organizer”), which may be contacted by sending a message to the following e-mail address: [email protected].. 

3. The Program may be sponsored by its partners which are: Google.org, Amazon Web Services.

 

II. DEFINITIONS

 

For these Terms, the following terms shall have meanings ascribed to them below:

  1. Nonprofit – shall mean a not-for-profit entity organized and operated for a collective, public or social benefit;
  2. Participant – shall mean both the Nonprofit and the Tech Company;
  3. Privacy Policy – shall mean a privacy policy currently available at www.techtotherescue.org;
  4. Sponsor – shall mean an individual or a company funding the AI for Changemakers program; 
  5. Tech Company – shall mean a company dealing in a practical way with IT issues, in particular artificial intelligence;
  6. Website – shall mean the website available at: www.techtotherescue.org/ai-for-changemakers containing information on the Program and enabling registration for participation in the Program for the Participants.

 

III. PROGRAM GOALS AND GENERAL DESCRIPTION

 

1. AI for Changemakers is a community program intended for learning, collaboration, and engagement in creating digital solutions with social impact and aims to recruit nonprofit organizations to the AI transformation journey and to offer them strategy-creation support, consultancy to formalize AI requests and access to a unique network of tech companies open for pro-bono/low-bono work. 

2. The main goals of the AI for Changemakers are:

(a) enabling Nonprofits to:

  • establish cooperation with Tech Companies with the help of which they will be able to increase their impact, develop their business, better promote their goals and achieve them in a shorter time;
  • obtain substantive support by providing education on the use of artificial intelligence by the Organizer, Tech Companies and other experts;

(b) enabling Tech Companies to establish cooperation with non-profit organizations pro-bono or low-bono, participating in activities aimed at helping such organizations (such as hackathons, mentoring sessions and community education).

The achievement of the above goals will be the result of cooperation between the Organizer, the Nonprofits, Tech Companies and Program Sponsors.

3. The Program will start on April 18th, 2024 (submission opening) and will last until December 31st, 2026.

4. The program will be divided into five cohorts with different application periods:

  • disaster management – Q2 2024
  • climate – Q2 2024
  • health – Q3 2024
  • education – Q4 2024
  • economic growth/jobs – Q1 2025

5. The Organizer reserves the right to shorten or extend the duration of the Program, change the dates or order of application periods or cancel a given cohort at any time.

6. Participation in AI for Changemakers is free of charge for both Nonprofits and Tech Companies. Still, for the avoidance of any doubt, it is noted that this does not apply to individual arrangements between a Nonprofit and a Tech Company, which can jointly decide whether their cooperation will be pro-bono or low-bono.

7. Both Nonprofits and Tech Companies may come from different countries excluding countries that are embargoed by the US or the EU. The Program will be conducted in English.

IV. NONPROFITS

 

A. Participation rules

1. AI for Changemakers allows Nonprofits to participate in cohorts with the following Participant limit:

  • disaster management – 10 Nonprofits;
  • climate – 30 Nonprofits;
  • health – 30 Nonprofits;
  • education – 20 Nonprofits;
  • economic growth/jobs – 20 Nonprofits;

These limits may change depending on the Organizer’s decision.

2. The Nonprofit that is interested in participating in AI for Changemakers should apply to the Organizer according to the rules set out in section IV. B and IV. C of these terms and conditions. 

3. Nonprofits qualified for the AI for Changemakers are required to fulfill the general obligations: 

a) designate a person who will represent the Nonprofit during the Program and inform about each change of such a person; 

b) provide the Organizer (with the right of forwarding to the Tech Companies) with data sets, resources, and/ or materials if needed for effective participation in the Program; 

c) declare availability for the media in case of possible requests for interviews and quotes related to the Program;

d) operate on a not-for-profit basis and have a mission to benefit the broader community;

e) the Nonprofit may not:

  • discriminate based on gender, race, ethnicity, national origin, religion, political affiliation or beliefs, sexual orientation, or gender identity or expression;
  • exist to solely propagate a belief in a specific faith or limit the provision of their services only to people of a specific faith.

4. As the Participants in the program and taking full advantage of the opportunities offered the Nonprofits shall:

a) go through the AI strategy building boot camp;

b) create AI strategy document;

c) go through an accelerator program;

d) submit AI project briefs to be matched by the Organizer with Tech Companies on pro-bono or low-bono implementations

e) participate in interviews for the “State of AI” report, if requested by the Organizer. 

f) report on the impact the program and AI solutions brought to the Nonprofit in either of the following ways:

  • growth in the number of beneficiaries;
  • reduction of time to reach their impact; 
  • reduction in the costs of their operations;
  • progress against SDGs targets.

g) stay active in the program, meaning: participating in the Community of Practice, being responsive to incoming communication from TTTR and Tech Companies, taking part in activities planned by the Organizer.

In a situation in which the Nonprofit fails to fulfill the obligations specified in points 3 and 4 above, the Organizer is entitled to remove such Nonprofit from the Program participants after prior notification and request to remedy the violations.

 

B. Submission to the program and registration of the Nonprofits

1. Submission and registration of the Nonprofits take place during application periods appropriate for their activities.

2. Submission takes place on the Organizer’s dedicated website at: https://www.techtotherescue.org/ai-for-changemakers/ and is made by completing the application form and sending it to the Organizer by pressing the “Submit” or similar button.

3. The condition for submitting the application is accepting these Terms by checking the dedicated checkbox (obligatory). These Terms will also be provided in electronic form on the Website.

4. Submitting the application also means that the person who sends the submission on the Nonprofit’s behalf has read the Privacy Policy and fully accepts these and that he/she is authorized to act on behalf of the Nonprofit. 

5. Sending the submission implies the Nonprofit’s consent to receive organizational information during the Program via the address e-mail indicated in the form, which is necessary to ensure the conduct of the Program.

6. After submitting to AI for Changemakers, the Organizer will send to the Nonprofit a confirmation of submission to the email address provided in the form. Confirmation does not constitute participation in the Program.

7. The Organizer accepts applications from Nonprofits able to confirm their legal status by providing registration documents confirming entity registration in their country of origin.

8. Registration of a Nonprofit as a Program participant takes place as a result of a qualification process, the aim of which is to determine the scope of the Nonprofit’s activities, its credibility, impact potential and other elements that may affect effective cooperation within the Program. The qualification process has two stages and consists of an analysis of the submission (meeting the qualification criteria) and an interview with the Organizer’s specialists. Qualification criteria are described in section C below. The Organizer reserves the right to introduce changes to the qualification criteria to ensure the proper implementation of the Program objectives. To avoid any doubts the Nonprofit confirms that it is aware that the participant’s choice is the sole and free decision of the Organizer.

9. By applying for the AI for Changemakers the Nonprofit grants the Organizers a right to share information about the Nonprofit in a publication related to the Program.

10. The Organizer may disregard the submitted application and refuse the Nonprofit’s participation in the Project if the application subject is not related to the proper cohort subject area. The Organizer may also refuse to participate in the Program if there is a reasonable suspicion that the Nonprofit applied for a purpose contrary to the purpose of the Program (in particular, to recruit employees).

C. Nonprofit qualification criteria and interview

1. Nonprofits will be accepted to join the program depending on the number of points they obtain in the qualification process in accordance with the principle that the higher the number of points, the higher the place in the qualifying ranking and the possibility of being included in the given cohort’s limit. The qualification criteria for which the Nonprofit shall receive points are as follows:

a) attitude to innovation

  • Nonprofit has either:
    • Experimented with tech and AI before;
    • Has never experimented with tech or AI but is willing to do it.
  • Nonprofit has financial and/or human resources to invest in technology 
  • Nonprofit is willing to involve or is already involving tech and AI in their strategy
  • Nonprofit has basic tech capacity to maintain the solution

 

b) expertise in cohort area

  • Nonprofit either:
    • Is a key player in their field: without it a community or target group wouldn’t receive the services they provide;
    • Is a complementary  player in their field and without them a community or target group would have difficulties receiving the services they provide;
    • Nonprofit has done extensive research and/or has a personal connection to one of the cohort topics
    • Nonprofit has a focused problem area in the topic of the relevant cohort

 

c) decision-maker engagement

  • A decision maker in the Nonprofit approved the registration and is willing to dedicate at least one member of the team to work on the solution;
  • Nonprofit has at least one dedicated person to take part in their dedicated 2-year cohort, preferably a decision-maker;
  • Nonprofit has simple and straightforward procedures that will allow it to sign an agreement with the tech company.

 

d) financial strength

  • Nonprofit has secured funds for at least the length of its cohort;
  • Nonprofit understands that  there are costs associated with AI solutions that they might have to cover;
  • Nonprofit is clear about who its donors are and is willing to inform the Organizer about them.

 

e) voice potential

  • Nonprofit either has a digital presence or is working on it;
  • Nonprofit has enough data to produce case studies or broadcast their impact;
  • Nonprofit is willing to work with the Organizer to create case studies;
  • Nonprofit or its founders have a good reputation and are leaders in their field.

 

f) impact history

  • Nonprofit is sustaining its impact or growing in either the number of beneficiaries or the number of services.
  • Nonprofit is willing to share with the Organizer insights or reports on their previous impact.

To avoid any doubts, failure to meet a given criteria equals zero points but it does not mean that a Nonprofit cannot qualify for the Program if it achieves a sufficient number of points from the remaining criteria.

 

2. The second stage of the qualification for the Program is an interview with the Organizer’s specialists. During the interview, the specialist is to verify the criteria and obtain knowledge about the Nonprofit to the extent that allows it to be assessed as best as possible in terms of participation in the Program. If the information provided by the Nonprofit during the interview may constitute a trade secret, the Nonprofit is obliged to clearly inform the Organizer about such fact.

3. The specialist’s assessment is always subjective, although the Organizer will exercise due diligence in selecting such a specialist to ensure that the Nonprofit assessment will be substantive and objective.

4. If the interview shows that the Nonprofit:

a) stated an untruth;

b) it is impossible to prove whether the information provided by the Nonprofit is true;

c) its occurrence will indicate a lack of will to participate in the implementation of the Program’s goals,

d) other circumstances arise, including in particular the lack of soft skills, which indicate that cooperation with the Nonprofit during the Program will be difficult or impossible.

the Organizer will refuse to allow the Nonprofit to join the program.

5. If a given Nonprofit has already cooperated with the Organizer and information enabling the correct determination of the level of fulfillment of the qualification criteria is available to it, the Organizer may waive the request to carry out the first stage of the qualification process. In such a situation, the Nonprofit will be only obliged to go through the second stage (interview) in accordance with the above-mentioned procedure.

6. The final decision to qualify a Nonprofit for the Program will be the result of both stages of the qualification process subject to the exclusion indicated in para 5 of this section. The Organizer reserves the right to make a subjective assessment in this respect.

7. Participation in the program is equivalent to granting by the Nonprofit a non-exclusive, perpetual and territorially unlimited license to use its name and logo, which the Nonprofit must provide to the Organizer upon request.  The Nonprofit also consents to the Organizer granting sublicenses to the program Sponsors on equivalent terms. The name and logo will be featured in case studies (articles, photos and videos) showcasing impact projects developed as part of the Program, on social media and blog portals owned by the Organizer and the Program Sponsors, as well as publicly available mass media and press. The license and further sublicences are granted free of charge. The Nonprofit has been informed that failure to provide such consent will prevent participation in the Program.

8. Participation in the Program requires obtaining a Marketing Authorization and Release consent in the part about publishing case studies by the Organizer and Sponsors. The Nonprofit has been informed that failure to provide such consent will prevent participation in the Program.

V. TECH COMPANIES

 

A. Participation rules

1. AI for Changemakers allows Tech Companies to participate in each cohort. However, each time it has to go through the qualification process. 

2. The Tech Company that is interested in participating in AI for Changemakers should apply to the Organizer according to the rules set out in section V. B of these terms and conditions.

3. By submitting to the Program the Tech Company confirms that it has experience in implementing AI-based solutions and has the appropriate technological, human and organizational resources needed to participate in the Program and is able to maintain them throughout its duration. 

4. Tech Companies qualified for the AI for Changemakers are required to fulfill the general obligations as set out in the General Terms of Service of Tech To The Rescue idea and: 

a) provide Open source solutions

b) reports on impact and value

c) participate in case studies if matched.

 

B. Submission to the program and registration of the Tech Companies

1. Submission and registration of the Tech Companies take place during application periods appropriate for their activities. Each Company, in order to declare interest in the Program, must send the Application to the Organizer via a dedicated form available at the following URL address: https://www.techtotherescue.org/ai-for-changemakers/. 

2. Submission takes place on the Organizer’s dedicated Website at: https://www.techtotherescue.org/ai-for-changemakers/ and is made by completing the application form and sending it to the Organizer by pressing the “Register my company” or similar button.

3. The condition for applying is accepting these Terms by checking the dedicated checkbox (obligatory). These Terms will also be provided in electronic form on the Website.

4. Submitting the application also means that the person who sends the submission on Tech Company’s behalf has read the General Terms of Service and Privacy Policy and fully accepts these and that he/she is authorized to act on behalf of the Tech Company.

5. Sending the submission implies the Tech Company’s consent to receive organizational information during the Program via the address e-mail indicated in the form, which is necessary to ensure the conduct of the Program.

6. After submitting to AI for Changemakers, the Organizer will send to the Tech Company a confirmation of submission to the email address provided in the form. Confirmation does not constitute participation in the Program.

7. By applying for the AI for Changemakers the Tech Company grants the Organizer a right to share information about the Tech Company in publications related to the Program.

8. The Organizer may refuse the Tech Company’s participation in the Program by persons reasonably suspected to have registered for a purpose other than to participate in the Program (in particular to recruit employees). In such an event, the application shall be deemed ineffective, about which the Organizer will inform the Tech Company. 

9. If a given Tech Company has already cooperated with the Organizer, the Organizer may waive the request to send the Application via a dedicated form. In such situation, the Tech Company can communicate it’s interest in joining the program in direct communication with representatives of the Organizer or by pressing the “Join the Program” or similar button shared with the Tech Company in mailing correspondance.

10. Participation in the program is equivalent to granting by the Tech Company a non-exclusive, perpetual and territorially unlimited license to use its name and logo, which the Tech Company must provide to the Organizer upon request.  The Tech Company also consents to the Organizer granting sublicenses to the program Sponsors on equivalent terms. The name and logo will be featured in case studies (articles, photos and videos) showcasing impact projects developed as part of the Program, on social media and blog portals owned by the Organizer and the Program Sponsors, as well as publicly available mass media and press. The license and further sublicences are granted free of charge. The Tech Company has been informed that failure to provide such consent will prevent participation in the Program.

11. Participation in the Program requires obtaining Marketing Authorization and Release consent in the part about publishing case studies by the Organizer and Sponsors. The Nonprofit has been informed that failure to provide such consent will prevent participation in the Program. 

VI. MATCH OF THE NONPROFIT AND TECH COMPANY

 

1. After completing the qualification process for both Nonprofits and Tech Companies, the Organizer will make reasonable efforts to match the Participants in such a way as to enable the achievement of the Program’s purpose to the greatest extent possible. This does not mean that the Organizer is obliged to find a match for each of the Participants – it might not be possible for objective reasons as it depends on the applications submitted and the activity, interests and specializations of Participants on both sides of the Program.

2. After determining the potential match, the Organizer will arrange a meeting between the Participants to confirm the details and will of cooperation.

3. If any of the Participants is not satisfied with the match, should communicate this to the Organizer as soon as possible who will, if possible, propose a new match. A delay in this respect may make it difficult for the Organizer to find a suitable partner. 

4. If the Participants are satisfied with the match, the Organizer will provide them with an agreement template which is recommended to be signed by the Nonprofit and the Tech Company. Using the template is voluntary, the Participants can conclude an agreement on their own designs and terms. 

5. The Organizer is not responsible for further cooperation of the Participants in implementing the solution. However, if it turns out that the cooperation is not successful, the Organizer may try, if possible, to propose a solution to the situation – including proposing another partner.

6. The Organizer is entitled to check the cooperation between the Participants, obtain information about its quality and scale, as well as about the impact on the Nonprofit’s activities. This information may be transferred to Program Sponsors but only to the extent related to the assessment of the Program’s effectiveness.

VII. ACTIVITIES WITHIN THE PROJECT

 

1. The AI for Changemakers program, apart from bringing about a match between Nonprofits and Tech Companies to establish cooperation between them, also includes other activities related to obtaining support for Nonprofits in the use of solutions based on artificial intelligence. 

2. The Organizer will each time inform Participants, both Nonprofits and Tech Companies, about the planned activities via email or/and through Community of Practice channels, and will also specify the rules of application and participation in them. The Organizer may also introduce a schedule and agenda for such activities.

3. Conducting the activities will depend on the current capabilities of the Organizer, in particular on obtaining appropriate technical, human and organizational resources.

4. The activities within the Program shall include: 

a) mentoring – Ongoing mentorship to explore potential opportunities, assess risks, and address practical questions provided by both TTTR staff and volunteers recruited in the TTTR network.;

b) Thought leadership community of practice – Tech To The Rescue Foundation will release and publish a series of blog posts, podcast episodes and have an active social media presence promoting the Ai for Changemakers program milestones and case studies based on the collaboration of the entities participating in the program.;

c) Hackathons – Dedicated online events, organized twice a year, during which tech teams compete to develop solution prototypes to chosen projects of the AI for Changemakers Program;

d) Demo days – Opportunities to present projects to a group of Tech Donors during Demo Days hosted by Tech To The Rescue and Partners, aiming for additional funding for larger-scale implementations.;

e) AI for Changemakers awards – Yearly online awards organized by TTTR to recognize best use-cases of AI in Non-profits;

f) other related activities aimed at making the most effective use of the Program – Access to a unique network of Tech Companies committed to collaborating on a pro-bono and low-bono basis, with each company pledging at least one pro-bono project annually. A vibrant practice community of over 100 Nonprofits in this Program, technical volunteers and mentors, facilitating the exchange of knowledge, crowdsourcing and wide adoption of solutions. The Community of Practice will allow Nonprofits to learn as much as possible about technology and AI from fellow NGOs and mentors, while working on their projects with AI experts..

5. The above-mentioned activities will be conducted in cooperation with Participants, in particular with Tech Companies that, at their discretion, may also support Nonprofits in this way. 

6. Conducting the activities will depend on the current capabilities of the Organizer, in particular on obtaining appropriate technical, human and organizational resources. 

7. As part of the events, Participants can gain access to third-party copyrighted materials, including speakers, presentations and videos.

8. It is forbidden for the Participants to record any of the copyrighted materials independently and distribute them in any form. Third-party materials may be made available by the Organizer in the manner indicated by the Organizer.

9. The Organizer, by sharing the third party materials, grants to the Participants a non-exclusive, without territorial or time limitations, sublicense to playback the third party materials at the place and time of the Participant’s choosing, exclusively for personal use, for non-commercial purposes. 

10. The Organizer may terminate the sub-license at any time, if the Organizer is notified and the terms of the sub-license are violated by the Participant or the copyright owner terminates the license to the Organizer.

VIII. RESPONSIBILITY OF THE ORGANIZER 

 

1. To the extent permitted by law, the Organizer is not responsible for:

a) the Participants’ actions which are inconsistent with these Terms, including damage caused to third parties as a result of the participation in the Program in a manner contrary to these Terms and the law,

b) provision of third parties’ data by the Participant during the Program,

c) consequences of providing false, incomplete or incorrect data, including data in the form,  by the Participants, 

d) interruptions or difficulties in participation in the Program for other reasons attributable to the Participants, e.g., an overflowing mailbox, failure to register, or late registration.

e) inability or difficulty in participation in the Program due to non-fulfillment of the technical requirements specified in these Terms and mutual arrangements between the Participants,

f) for the correctness and accuracy of the guidance and information provided to the Participants as part of consultation and support during the Program;

g) the usefulness and usability of the activities during the Program and the assimilation of this knowledge by the Participants with the Organizer making every effort to select specialists who provide a guarantee of high-quality content.

IX. PERSONAL DATA

 

1. The entity acting as the controller of personal data shall be Tech To The Rescue Foundation, with its registered office, at Hoża 86/410, 00-682 Warsaw, Poland, entered into the Register of Associations, Other Social and Professional Organizations, Foundations, and Independent Public Health Care Facilities kept by the District Court for the Capital City of Warsaw, XIII Commercial Department of the National Court Register under KRS number 0000937683, NIP (Tax Identification Number) 5272981322, which may be contacted at the following e-mail addresses: [email protected].

2. All information regarding data processing is included in the Privacy Policy available on the Website. 

X. FINAL PROVISION

 

1. The Organizer reserves the right to make any changes to these Terms, including changing the date of the Program or canceling the Program, for important reasons understanding as a state of emergency, natural disaster withdrawal, of all Partners and Sponsors or a change in the law making it impossible to organize the Program in the currently indicated manner. 

2. The Participants will be notified of any change made to these Terms within a window of 14 days prior to the implementation of such a change. 

3. Except as provided by applicable law, the law of Poland will be the applicable law to recognize disputes and issues related to the Program.
